Terms of Service
Primary Governing Law: Uganda
Services: may be delivered across Uganda, the UK, and the EU.
1. Introduction
These Terms of Service (“Terms”) govern the provision of infrastructure, hosting, and related services by Computer Facilities Technical Services (CFTS.CO Ltd.) (“CFTS”).
- By accepting a quotation, paying an invoice, or using CFTS services, the client agrees to these Terms.
- CFTS provides enterprise-oriented infrastructure services designed for reliability, operational clarity, and predictable service delivery under real-world operating conditions.
2. Service Scope
CFTS provides infrastructure and hosting services including, but not limited to:
- Virtualised compute platforms
- Dedicated infrastructure
- Storage services
- Backup services
- Network services
- Hybrid Uganda ↔ UK deployments
- Optional managed services
Services may be provided as:
- Unmanaged infrastructure services
- Managed infrastructure services
- Custom enterprise deployments
Unless otherwise agreed in writing, services are provided as unmanaged infrastructure services.
3. Infrastructure Responsibility Boundary
CFTS is responsible for infrastructure and systems directly owned and operated within the CFTS-managed environment.
This includes:
- Compute infrastructure
- Internal storage platforms
- Internal datacentre networking
- Power systems within the hosted environment
- Environmental systems within the hosted environment
CFTS is not responsible for:
- Public internet conditions
- Upstream transit providers
- Third-party DNS, CDN, SaaS, or cloud platforms
- Customer-managed operating systems or applications
- Customer software defects or misconfiguration
- Customer ISP or end-user connectivity issues
- Events outside the direct operational control of CFTS
4. Managed vs Unmanaged Services
Unmanaged services provide infrastructure resources only.
Unless explicitly included in a managed services agreement, the client remains responsible for:
- Operating system administration
- Application management
- Security configuration
- Software maintenance
- Data validation
- Application-level backups
- User management
Managed services are only provided where explicitly defined in writing.
5. Acceptable Use
Clients may not use CFTS services for:
- Illegal activity
- Malicious or abusive activity
- Spam or unsolicited bulk messaging
- Malware distribution
- Network abuse or attacks
- Activities likely to negatively affect platform stability or security
CFTS reserves the right to suspend services where reasonably necessary to protect infrastructure stability, security, or legal compliance.
6. Security
CFTS applies layered infrastructure security measures including:
- Controlled administrative access
- Multi-factor authentication
- Monitoring and alerting
- Network segmentation
- Hardened infrastructure configurations
Clients remain responsible for securing applications, credentials, and data within unmanaged environments.
7. Backups and Data Protection
Backup services are only included where specifically contracted.
Where backup services are provided:
- Backup retention and scheduling are defined by the applicable service agreement
- Recovery objectives may vary depending on service configuration
- Clients remain responsible for validating application consistency and data integrity
CFTS strongly recommends clients maintain independent copies of critical data.
8. Maintenance and Operational Changes
CFTS may perform scheduled or emergency maintenance where necessary to maintain platform stability, security, or operational continuity.
Where practical, reasonable notice will be provided for planned maintenance.
Emergency maintenance may be performed without prior notice where operationally required.
9. Service Availability
Service availability commitments are defined in the applicable Service Level Agreement (SLA), where provided.
No guarantee is made regarding uninterrupted access to public internet services or third-party systems outside the CFTS operational boundary.
10. Billing and Payment
Services are billed according to the applicable quotation, agreement, or pricing schedule.
Unless otherwise agreed:
- Reserved services are billed in advance
- Usage-based services are billed in arrears
- Fees are payable within the stated invoice period
CFTS reserves the right to suspend services for materially overdue accounts following reasonable notice.
11. Limitation of Liability
To the maximum extent permitted by law:
- CFTS shall not be liable for indirect, incidental, or consequential damages
- CFTS shall not be liable for loss of profits, business interruption, or loss of data
- Total liability shall not exceed the fees paid for the affected service during the preceding three months
This limitation applies regardless of the nature of the claim.
12. Force Majeure
CFTS shall not be liable for delays or service impacts caused by events outside reasonable operational control, including:
- Utility failures
- National infrastructure instability
- Natural disasters
- Civil disturbance
- Government action
- Major upstream network failure
- Acts of war
- Severe environmental events
CFTS will make reasonable efforts to minimise operational disruption where possible.
13. Suspension, Termination and Reinstatement
Either party may terminate services in accordance with the applicable agreement.
CFTS may suspend or terminate services where:
- Services are used unlawfully.
- Platform security is at risk.
- Continued operation presents operational or legal risk.
- Following suspension or termination, CFTS may retain client data for a limited period, typically not exceeding 30 days, where technically and commercially practical. CFTS is not responsible for indefinite retention of suspended, terminated, or unpaid services unless otherwise agreed in writing.
- Outstanding balances may affect the client account as a whole. CFTS may suspend or restrict any services associated with an account where account balances remain materially overdue, regardless of the specific service to which the balance relates.
- Reinstatement of suspended services may require settlement of outstanding balances, payment of applicable reactivation fees, and technical verification. CFTS does not guarantee immediate reinstatement following payment.
- Suspension or termination of services does not waive or remove outstanding payment obligations accrued prior to suspension or termination.
Where practical, reasonable notice will be provided. CFTS may suspend services without prior notice where required to protect platform stability, security, legal compliance, or other clients.
14. Confidentiality
CFTS will treat client information as confidential except where disclosure is:
- Required by law
- Necessary for service delivery
- Authorised by the client
15. Cross-Border Services and Jurisdictional Operations
CFTS services may operate across multiple jurisdictions, including Uganda and international infrastructure environments. Services, infrastructure, storage, transit, backup systems, or third-party platforms may therefore be subject to the applicable laws, regulatory requirements, lawful disclosure obligations, and operational constraints of the jurisdictions in which they operate.
16. Governing Law
These Terms shall be governed by the laws of Uganda.
17. General
These Terms may be updated periodically.
The current published version of this document shall be considered the authoritative version and supersedes all previous versions.
